1. Acceptance of these terms
By accessing or using Wayne Capital (the "Service") — including the website, dashboard, Telegram bot, Discord server, AI chat, and any related feature — you ("you," "Subscriber," or "User") agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms form a binding contract between you and Wayne Capital ("we," "us," or "Wayne Capital"), operated by Ethan Serbantes in Austin, Texas.
2. Nature of the service
Wayne Capital is an options-trading research publication distributed to a paid subscriber audience. The Service includes:
- Automated options-flow signals broadcast to all subscribers in a given tier on an impersonal basis;
- Market commentary, research, and educational content;
- A web dashboard with live market data and historical signal records;
- A Telegram bot delivering alerts to subscribers who connect Telegram;
- A Discord server for tier-appropriate community access;
- An AI-assisted chat tool (described in §3).
Wayne Capital operates as a publisher under the publisher exemption to the Investment Advisers Act of 1940 (15 U.S.C. § 80b-2(a)(11)(D)) and the principles established in Lowe v. SEC, 472 U.S. 181 (1985). Our content is bona fide, of general and regular circulation to subscribers, and is not tailored to any individual subscriber's financial situation, portfolio, or goals.
Wayne Capital is not a registered investment adviser, broker-dealer, financial planner, accountant, or attorney. We do not provide investment advisory services, manage client funds, or accept assets under management.
3. AI assistant disclosure
The "Wayne" chat assistant available on the dashboard and Telegram is powered by Anthropic's Claude, a general-purpose large language model that Anthropic provides through its API. Wayne Capital pays Anthropic for API access and provides Claude with live market context (current prices, recent signals, news headlines) to generate relevant replies.
The AI assistant is a research tool, not a financial advisor. Replies are generated by a general-purpose AI based on the data passed to it and may be inaccurate, incomplete, or based on stale information. The AI is not your advisor, fiduciary, or agent — it does not know your portfolio, your financial situation, your tax position, or your risk tolerance, and we instruct it not to give personalized investment recommendations.
You should treat AI replies the same way you would treat any general AI tool (such as Claude.ai or ChatGPT) that has been given market data: as one input among many, not as advice.
4. Not investment advice
Nothing on Wayne Capital — including signals, alerts, dashboard content, Lab content, AI chat replies, Discord messages, Telegram messages, emails, marketing materials, or any other communication — constitutes investment advice, financial advice, tax advice, legal advice, accounting advice, or a recommendation to buy, sell, or hold any security, derivative, or other financial instrument.
All content is provided for educational, informational, and entertainment purposes only. Before making any trade or investment decision, you should:
- Conduct your own research;
- Consider your own financial situation, investment objectives, and risk tolerance;
- Consult a licensed financial advisor, tax professional, and/or attorney as appropriate.
5. Risk acknowledgement
Options trading involves substantial risk and is not suitable for every investor. You can lose your entire investment quickly. Options can expire worthless. Multi-leg strategies can produce losses greater than the premium paid. Past performance is not indicative of future results.
Backtest results, hypothetical performance, win rates, profit factors, and any other historical statistics shown on this Service have inherent limitations and do not account for real trading conditions such as slippage, partial fills, market impact, fees, and commissions. Real results will differ.
By using the Service, you acknowledge that:
- You understand the risks of options trading and can afford to lose any capital you risk on trades you make;
- You are solely responsible for your trading decisions and outcomes;
- Wayne Capital makes no guarantee, representation, or warranty that following any signal will be profitable;
- You have read the FINRA / SEC publication "Characteristics and Risks of Standardized Options" or a comparable resource and understand the risks of options as a product.
6. Eligibility
To use Wayne Capital you must:
- Be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater);
- Have the legal capacity to enter into a binding contract;
- Not be barred from trading securities by any applicable law, regulation, or court order;
- Not be located in any jurisdiction where use of the Service is prohibited.
7. Your account
You agree to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@waynecapital.io if you suspect unauthorized access.
You agree to provide accurate, current, and complete information during registration and to keep that information up to date. Sharing your account or alerts with non-subscribers is a material breach of these Terms and grounds for termination without refund.
8. Subscription, billing, cancellation, refunds
Billing. Wayne Capital is a recurring subscription. You authorize us (through Stripe, our payment processor) to charge your payment method on a monthly recurring basis at the rate disclosed at signup until you cancel. Prices are in U.S. dollars. We may change prices at any time; price changes will not apply to your current billing cycle.
Free trial. Where a free trial is offered (currently a 7-day Diamond trial), a valid payment method is required at signup but you will not be charged during the trial period. You may cancel before the trial ends to avoid being charged. If you do not cancel, your subscription will automatically convert to a paid subscription at the end of the trial.
Cancellation. You may cancel your subscription at any time from your account or by emailing support@waynecapital.io. Cancellation takes effect at the end of your current billing period — you retain access through the period you've already paid for.
Refunds. All payments are non-refundable, except where required by law. We do not pro-rate refunds for partial months. If you believe you've been billed in error, contact us within 30 days and we'll review the case.
Discounts and referrals. We may offer promotional discounts, referral credits, or comp memberships from time to time. These are non-transferable and have no cash value.
9. Acceptable use
You agree not to:
- Share, resell, redistribute, or republish Wayne Capital signals, alerts, or content to non-subscribers;
- Use the Service to provide investment advice to others, manage other people's money, or run a competing signal service;
- Scrape, copy, or attempt to reverse-engineer the engine, strategy parameters, or any non-public part of the Service;
- Abuse, harass, or defame other members, Wayne Capital staff, or third parties;
- Use automated tools to access the Service except where we explicitly allow it (e.g., our official Telegram bot, our official API endpoints documented for member use);
- Use the Service to commit fraud, manipulate markets, engage in insider trading, or violate any applicable law.
Violations are grounds for immediate termination without refund.
10. Intellectual property
Wayne Capital, the engine, the strategy library, the website, the Lab content, the Track Record page, the AI chat system prompts, all signals (in their composed form), all imagery, copy, branding, and any other material we create are our intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use this material solely for your personal, non-commercial trading research during your active subscription. Nothing else is granted.
You retain ownership of any content you submit (chat messages, support requests, profile picture). By submitting it, you grant us a license to use that content for the purpose of operating the Service.
11. Account termination
We may suspend or terminate your account at any time, with or without notice, for any reason including: violation of these Terms, fraudulent activity, abuse of staff or members, or actions that put the Service or other subscribers at risk. If we terminate you for cause, you are not entitled to a refund.
You may terminate your account at any time by cancelling your subscription. Upon termination, your access to paid features ends at the close of your current billing period.
12. Disclaimer of warranties + limitation of liability
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Wayne Capital and its operator from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including securities laws; or (d) any trade you place based on Service content.
14. Arbitration + class action waiver
Please read this section carefully — it limits how disputes between you and Wayne Capital are resolved.
You and Wayne Capital agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Austin, Texas, or by telephone or video conference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and Wayne Capital agree that any dispute will be resolved only on an individual basis. Neither party may bring a claim as a plaintiff or class member in a class, consolidated, or representative action.
Exceptions. Either party may bring an individual action in small claims court instead of arbitration, where eligible. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@waynecapital.io within 30 days of first accepting these Terms. The notice must include your full name, the email on your account, and a clear statement that you wish to opt out.
15. Governing law
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
16. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify subscribers by email and post the updated Terms at this URL with a new "Last updated" date. Continued use of the Service after the change constitutes acceptance of the updated Terms. If you do not agree, your sole remedy is to cancel your subscription.
